CITIZENS SECURITY BANK & TRUST CO. BILL PAY TERMS AND
CONDITIONS
These terms and conditions constitute the agreement
("Agreement") between you and Citizens Security Bank &
Trust Company ("Service Provider") with respect to the
provision of Online Bill Payment Services (the "Service") to you.
Your use of the Service constitutes your agreement to be bound by
the terms of this Agreement and that your contract is with the
Service Provider, who is responsible to you for the provision of
the Service. In this Agreement the words "you" and "your" mean each
person whom signed the application; the terms "us" and "we" means
the Service Provider.
BILL PAYMENT SERVICE
By providing the Service Provider with the names
and account information of those persons or entities to whom you
wish to direct payment, you authorize the Service Provider to
follow the payment instructions that it receives from you through
the bill payment program. When the Service Provider receives a
payment instruction, you authorize the Service Provider to charge
your transaction account on the selected Process Date and remit
funds to the designated payee on your behalf.
In the following instructions, the Process Date is
defined as the day you request the Service Provider to process the
payment.
A Business Day is defined as Monday through Friday
up to 12:00 noon (Central Time) excluding weekends and
holidays.
If you select a Process Date that is a Saturday or
a Sunday, the payment will be processed on the previous Business
Day. If the selected Process Date is a holiday, the payment will be
processed on the previous Business Day.
Payments are processed each day at 2:00 am and
12:00 noon Central Time. Any payments entered up to that time will
be processed the same day. Any payment issued via check will be
printed and mailed the same day. Electronic payments will be sent
for processing the same day.
For this reason, it is recommended that all Process
Dates selected by you be at least five Business Days before the
actual "payment due date", not the late date and/or grace period.
The risk of incurring and the responsibility for paying any and all
late charges or penalties shall be borne by you.
Note: The Service may not be used
to pay taxes or court-directed payments.
The Service Provider will use its best efforts to
make all your payments properly. If we do not complete a payment on
time or in the correct amount according to the Agreement, we will
be liable for your losses and damages. However, there are some
exceptions to this liability. For instance, we will not be liable
in the following circumstances:
- If through no fault of ours, you do not have
enough funds in your account to make the transfer, or the transfer
would exceed the credit limit on any overdraft line associated with
the account;
- The equipment or software used by the Service
Provider to provide the Service was not working properly and you
knew or were advised by the Service Provider about the malfunction
before you executed the transaction;
- You have not provided the Service Provider with
the correct names or account information for those persons or
entities to whom you wish to direct payment;
- Circumstances beyond our control (such as, but not
limited to fire, flood, or interference from an outside force)
prevent the proper execution of the transaction despite the
reasonable precautions we have taken;
- You have reported your PIN as lost or stolen;
- Your Service has been cancelled;
- If the funds in your account are unavailable
because of garnishment, levy, or other hold requirements imposed
upon us by law or by a government agency or court orders. Also, any
holds placed by Citizens Security Bank & Trust Company for
uncollected funds.
PASSWORD AND SECURITY
You agree not to give or make available your Online
Personal Identification Number "PIN" to any unauthorized
individuals. If you believe that your PIN has been lost, stolen or
that someone may attempt to use the Service without your consent or
has transferred money without your permission, you must notify the
Service Provider at once by calling Citizens Security Bank &
Trust Company at 1-888-272-8866 or 918-366-4000.
YOUR LIABILITY FOR UNAUTHORIZED TRANSFERS
If you tell us within two (2) business days after
you discover your PIN has been lost or stolen, you can lose no more
than $50.00 if someone uses your PIN without your permission. If
you do not tell us within two (2) business days after you learn of
the loss or theft of your PIN, and we can prove that we could have
stopped someone from using your PIN without your permission if you
had told us, you could lose as much as $500.00. If your monthly
statement contains transfers that you did not make, tell us at
once. If you do not tell us within sixty (60) days after the
statement was mailed to you, you may lose any amount transferred
without your authorization. If a good reason (such as a long trip
or a hospital stay) prevented you from telling us, we may extend
the period.
ERRORS AND QUESTIONS
In case of errors and questions about your
electronic transfers or payments, you should contact us as soon as
you can by:

If you think that your statement is wrong or you
need more information about a transfer listed on the statement, you
must notify us no later than sixty (60) days after you received the
first statement on which the problem or error appeared.
You must:
1. Tell us your name and account
number;
2. Describe the error or the transfer you are
unsure about, and explain as clearly as you can, why you believe it
is an error or why you need more information; and
3. Tell us the dollar amount of the suspected
error.
If you tell us orally we may require that you send
your complaint in writing within ten (10) business days. Except as
noted below, we will determine whether an error occurred within 10
business days after we hear from you and will correct any error
promptly. If we need more time, however, we may take up to 45 days
to investigate your complaint or question. If we decide to do this,
we will credit your account within 10 business days from the amount
you think is in error, so that you will have the use of the money
during the time it takes us to complete our investigation. If we
ask you to put your complaint or question in writing and we do not
receive it within 10 business days, we may not credit your
account.
Special Rules for New Customers: If you are a new
customer, for transfers occurring within 30 days after the first
deposit in your account, we will determine if an error occurred
within 20 business days after we hear from you. However, if needed,
we may take up to 90 days to investigate your complaint or
question. If we decide to do this, we will credit your account
within 20 business days for the amount you think is in error so
that you will have the use of the money while we complete our
investigation.
We will tell you the results within three business
days after completing our investigation. If we decide that there
was no error we will send you a written explanation. You may ask
for copies of the documents that we used in our investigation.
DISCLOSURE OF ACCOUNT INFORMATION TO THIRD PARTIES

CHARGES
As a user of the Service, you will be charged a fee
of $5.95 per month with the first fifteen (15) payments included
per login ID. Each additional payment will be $ .35. The fee will
be charged monthly on the date your statement cuts. The first three
(3) months of service is free.
Horizon Club or Presidents Club members will not
have a fee to use this Service.
IN THE EVENT OF INSUFFICIENT FUNDS
Check Payments: Checks will be handled in the same
manner as a check that is written from your checkbook against an
insufficient balance.
Electronic Payments: During the noon bill pay
processing, the electronic payment files are verified for funds
availability. If the funds are available, your account will be
debited for the payment, and the payment will be processed.
STOP PAYMENTS
Check Payments may be stopped after the check is
printed and mailed. You will need to view the payment history to
obtain the check number, and then contact Citizens Security Bank
& Trust Company. If you call, we will require you to put your
request in writing and get it to us within 14 days after you call.
Refer to Errors and Questions Section for the telephone number and
address.
ALTERATION AND AMENDMENTS
The terms of this Agreement, applicable fees and
service charges may be altered or amended by the Service Provider
from time to time. In such event, the Service Provider will post
the amended term or conditions on the Web Site, and notify you by
mail.
TERMINATION OR DISCONTINUATION
In the event you wish to discontinue the Service,
you must contact the Service Provider in writing. Written notice of
service discontinuance must be supplied ten (10) days prior to the
actual discontinuation date and must be sent to:

The Service Provider may terminate use of the
Service by any individual at any time. Neither termination nor
discontinuation shall affect your liability or obligation under
this Agreement.
MERCHANT OR PAYEE LIMITATION
The Service Provider reserves the right to refuse
to pay any person or entity to whom you may direct a payment. The
Service Provider is obligated to notify you promptly if it decides
to refuse to pay a person or entity designated by you. This
notification is not required if you attempt to pay tax or
court-related payments, which are prohibited under this
Agreement.
INFORMATION AUTHORIZATION
You agree that the Service Provider reserves the
right to obtain financial information regarding your account from a
merchant, another payee or financial institution to resolve
payment-posting problems.
DISPUTES
In the event of a dispute regarding the Service,
you and the Service Provider agree to resolve the dispute by
looking to this Agreement. You agree that this Agreement is the
complete and exclusive statement of the agreement between you and
the Service Provider which supersedes any prior agreement, oral or
written, and any other communications between you and the Service
Provider relating to the subject matter of this Agreement except to
the extent that this Agreement may be subsequently modified by the
Service Provider posting additional terms or modifications to the
Web Site as described under the Alterations and Amendments section
of this Agreement above. If there is a conflict between what a
Service Provider's employee says and the terms of this Agreement,
the terms of this Agreement shall control.
ASSIGNMENT
You may not assign this Agreement to any other
party. The Service Provider may assign this Agreement at any time
to an affiliated company. The Service may also assign or delegate
certain of its rights and responsibilities under this Agreement to
independent contractors or other third parties.
NO WAIVER
The Service Provider shall not be deemed to have waived any of
its rights or remedies hereunder unless such waiver is in writing
and signed by the Service Provider. No delay or omission on the
part of the Service Provider in exercising any rights or remedies
shall operate as a waiver of such rights or remedies or any other
rights or remedies. A waiver on any one occasion shall not be
construed as a bar or waiver of any right or remedies on future
occasions.
CAPTIONS
The captions of Section hereof are for convenience
only and shall not control or affect the meaning or construction of
any of the provision for this Agreement.
GOVERNING LAW
This Agreement shall be governed by and construed
in accordance with the laws of the State of Oklahoma, without
regard to its conflicts of laws provisions.

CSB Online Information Sheet, Disclosures, And Access
Agreement
This Electronic Banking Agreement and Disclosure
(the "Agreement") discusses how you can use CSB Online (the
"Service") to obtain information about your accounts, to transfer
funds between your accounts, and to request certain other bank
services. It also contains the terms and conditions governing the
Service.
If you use this Service, you are bound by the terms
of this Agreement.
Under this Agreement, customers can use the Service
to transfer funds between their Citizens Security Bank & Trust
accounts. If you do not wish to have the ability to transfer funds
between accounts using CSB Online, please call us at (918) 366-4000
and we will remove that function from your Service.
Security & Protecting Your
Account
Citizens Security Bank & Trust Company is
strongly committed to protecting the security and confidentiality
of our customer account information. Citizens Security Bank &
Trust Company uses state-of-the-art technology in the ongoing
development of its Electronic Banking service to ensure this
security. We use several different methods to protect your account
information:
- You can only access CSB Online with certain
browsers that have a high security standard.
- The bank's server has been certified as a 128-bit
secure server by VeriSign, using Secure Sockets.
- We use state-of-the-art firewall configuration to
insure only permitted data exchanges are allowed.
- You must have a valid Online ID and PIN to
logon.
- If no action is taken for ten (10) minutes, you
will be automatically logged off CSB Online.
Your responsibility:
You agree….
- Not to give out your identifying information such
as your PC Password you any other person. The Bank may rely on your
Online ID to identify you when providing banking services to
you.
- Never to leave your account information displayed
in an area accessible by others.
- Never to leave your PC unattended while using CSB
Online. Always close your web browser.
- To always exit the system by clicking on EXIT
after using.
- To notify the Internet Banking Coordinator at
(918) 366-4000 immediately if you suspect that you Online ID or PIN
has become known to any unauthorized person.
CSB ONLINE E-MAIL COMMUNICATIONS
Electronic messages that are sent and received via
the "E-Mail" tab option in CSB Online are secure. Therefore, we
will not send, and we strongly suggest that you do not send, any
confidential account information unless using the electronic
communication options provided in our E-Mail tab. You agree that we
may take a reasonable time to act on any e-mail. Correspondence
that requires expeditious handling - for example, if you need to
report an unauthorized transaction from one of your accounts, or
you need to immediately stop payment on a check you have issued,
should be made by calling Citizens Security Bank & Trust
Company. (For your nearest CSB bank office location and phone
number, click on the "Location" tab at the CSB web site home
page.)
FUNDS TRANSFER SERVICE
If you are a consumer and you have an Online ID and
PIN from us, you will be able to transfer funds between your
Citizens Security Bank accounts. If you do not wish to have the
ability to transfer funds between accounts using CSB Online, or if
you want to restrict the accounts from which you can transfer funds
using your Online ID and PIN, call us at (918) 366-4000 and we will
make the necessary adjustments to this service for you.
ELECTRONIC BANKING FUNDS TRANSFER PROVISIONS
As a CSB Online customer, you can make immediate
transfers between your Citizens Security Bank deposit accounts
(Checking and Savings) over the Internet. All such transfers are
subject to the terms of these Electronic Banking Funds Transfer
Provisions (the "Transfer Provisions").
By using the Funds Transfer Service, you agree to
these Transfer Provisions.
1. General Information.
a. Meaning of Terms. As used in the Transfer
Provisions, the following words have the meanings given below.
"You" and "your(s)" refer to each person (including
any business) who applies to use the Service, and each person who
uses the Service with the permission of the applicant.
"Business" means any corporation, partnership,
limited liability company, sole proprietorship, or any other type
of entity maintaining a deposit account for commercial
purposes.
"We", "us", "our(s)", "CSB" or "Bank" refer to the
Citizens Security Bank & Trust Company depository institution
that holds an account that is accessed by the Service.
"Business Day" means Monday through Friday, except
banking holidays as defined by the Federal Reserve Bank.
b. Authorized To Charge Accounts. You are
responsible for all transfers you or your authorized
representatives make using the Service. You authorize us to debit
your designated account(s) for any transaction accomplished through
the use of the Service. You agree that we may comply with transfer
instructions entered by any one person using an authorized Online
ID and PIN, notwithstanding any provision that may be contained in
other account documentation purporting to require more than one
signature to withdraw funds from the account.
c. If you permit another person to use CSB Online
or give them your Online ID or PIN, you are responsible for
transfers, payments, or advances that person makes from the deposit
account linked to your Service registration even if that person
exceeds your authorization.
2. Electronic Banking Funds Transfer Service
Particulars.
a. a. You can transfer funds between your Checking
and Savings accounts using CSB Online.
b. Limits On Transactions. There is a maximum
dollar limit on any transfer equal to the available balance in your
account.
c. Availability. Funds must be available in the
account from which you wish to transfer funds on the date you enter
the transactions or on the date that a scheduled transfer is to be
made.
d. Restrictions on Transfers from Savings and Money
Market Accounts. Under Federal Reserve Board Regulation D, you may
make an unlimited number of deposits or transfers into a savings or
money market account; however, you may make no more than six
transfers per calendar month for savings accounts or six transfers
per monthly statement cycle for money market accounts to another of
your own accounts at CSB or to a third party by means of a pre-
authorized agreement or automatic transfer or telephone agreement.
No more than three (3) of the six (6) such transfers may be made by
you and payable to a third party.
e. Insufficient Funds to Complete Transfer. If your
account does not have sufficient funds to complete a transfer as of
the date the transfer is scheduled to be made, the transfer may not
be complete, but if we do complete the transfer as an accommodation
to you, you are responsible for any overdraft created and any
service fees incurred.
f. Correcting or Canceling Your Transfer. You
cannot cancel your transfer after it has been entered in CSB Online
and the information transmitted to us. You can correct information
about a transfer before you send us the information, and you can
use CSB Online to reverse a transaction after is has been entered.
Scheduled transfers may be cancelled or deleted before the date the
transfer is scheduled to be made.
g. Documentation and Verification of Transfers. The
date and amount of transfers made through CSB Online will be shown
on the Transaction History screen of CSB Online and will also be
shown on your printed statement for the accounts from which and to
which the transfer is made.
h. Address and Telephone Number For Notification of
Unauthorized Use. If you believe your Online ID or PIN has become
known by an unauthorized person, or that someone has transferred
money without your permission, call Citizens Security Bank &
Trust Company immediately at: (918) 366-4000, or write to Citizens
Security Bank & Trust Company, P.O. Box 130, Bixby OK
74008-0130. If you suggest that an unauthorized transfer may have
occurred, we may require you to sign an affidavit.
Also contact us with any other questions or
problems that you may have regarding the Service, including:
- You have difficulty with a transfer you authorized
using CSB Online, or your statement reflects a transfer you think
is in error.
- You need to obtain documentation concerning a CSB
Online transfer previously issued from your account.
i. Information will be disclosed to third parties
about your account or the transfers you make under the following
conditions:
- When it is necessary for completing requested
transfers.
- In order to verify the existence and condition of
your account for a third party such as a credit bureau or
merchant.
- In order to comply with a government agency or
court orders and subpoenas.
- If you give us your written (including electronic
message) permission;
- As otherwise permitted or required by law or
government regulations.
j. Protecting Your Online ID and PIN. You agree
that we may send confidential mailing, including Online ID and PIN
confirmation, to the current address shown in our records for your
primary checking account, whether or not that address includes a
designation for delivery to the attention of any particular
individual; and you further agree that CSB will not be responsible
or liable to you in any way in the event that such properly
addressed information is intercepted by an unauthorized person,
either in transit or at your place of business.
You agree to:
(1) keep your Online ID and PIN secure and strictly
confidential, providing them only to authorized signers on your
account(s) or other trusted employees, agents, etc. who you want to
act as your representatives to access your account(s).
(2) instruct each person to whom you give your Online ID and PIN
that he or she is not to disclose them to any unauthorized person;
and
(3) immediately notify us and select a new Online ID and PIN if
you believe an unauthorized person may know your confidential
codes.
The Bank shall have no liability to you for any
unauthorized payments or transfers made using your Online ID and
PIN that occurs before you have notified us of possible
unauthorized use and we have had a reasonable opportunity to act on
that notice. We reserve the right to suspend or cancel your Online
ID and PIN, even without receiving such notice from you, if we
suspect they are being used in an unauthorized or fraudulent
manner.
k. Your Obligation to Examine Records and Report
Discrepancies. The Bank provides no separate written confirmation
of individual payments or transfers. Confirmation is provided
through online information available from the Service and through
your periodic mailed account statements. You agree to examine your
statement promptly and to notify us immediately of any discrepancy
between the statement and your other account records. You also
agree to notify us immediately of any discrepancy you may find in
reviewing online information.
l. Acknowledgement of Commercially Reasonable
Security Procedures. By using the Service, you acknowledge and
agree that this Agreement sets forth security procedures for
electronic banking transactions, which are commercially reasonable.
You agree to be bound by any instructions, whether authorized or
unauthorized, which we implement in compliance with these
procedures, unless you have given us prior notice of possible
unauthorized use as described above and we have had a reasonable
opportunity to act on such notice.
m. Limitations of Bank's Liability. If we do not
complete a transfer from your account on time or in the correct
amount according to our agreement with you, we will be liable for
your losses or damages. However, there are exceptions. For
instance, we will not be liable:
1. If, though no fault of ours, you do not have
enough money in your Account to make the transfer.
2. If the funds on deposit are under some restraint
due to some legal process or other encumbrance restricting the
transfer.
3. If the system was not working properly and you
knew about the breakdown when you started the transfer.
4. If circumstances beyond our control (such as
fire or flood) prevent the transfer despite reasonable precautions
that we have taken.
5. If you have reported your Online ID and PIN had
been misappropriated.
6. If your CSB Online service is cancelled.
7. In case of any error or malfunction which was
not intentional on our part and resulted in a good faith
effort.
8. Other exceptions stated in our Agreement with
you.
MISCELLANEOUS PROVISIONS & RELATED AGREEMENTS
Your CSB accounts accessed by CSB Online continue
to be governed by the following CSB agreements and documents, as
they are amended from time to time:
(1) Deposit Agreement and Disclosures
(2) The applicable Personal or Business Schedule of Fees, and the
applicable Miscellaneous Fees for Personal or Business
Accounts.
If you have overdraft protection or accounts that are accessed by
the Service, they continue to be governed by the applicable
agreements you have with CSB. If any inconsistency exists between
such other documentation and this Agreement, then this Agreement
shall control to the extent of the inconsistency.
OUR ABILITY TO TERMINATE SERVICES
You are responsible for complying with all the
terms of this Agreement and with the terms of the agreements
governing the accounts to or from which transfers are made using
the Service. We can terminate your electronic banking privileges
under this Agreement without notice to you if you do not pay any
fees when due, or if you do not comply with any agreement governing
your accounts, or if any such account is not maintained in good
standing.
We can also terminate the Service if we believe
that an actual or potential unauthorized use of your Online ID,
PIN, or account may be occurring.
CSB reserves the right to terminate your access to
the CSB Online Service that is unused for a period of 180
consecutive days. A fee of $2.50 will be charged to re-activate the
service after this period.
CSB reserves the right to terminate your access to
the CSB Online Service or any portion of it in its sole discretion,
without notice and without limitation, except as may be required by
law.
AMENDMENT
We can amend this Agreement upon notice to you,
which you agree may be sent by E-Mail. Any notice will be effective
not later than ten (10) days after we send the notice (unless a law
or regulation requires a longer notice period), whether or not you
have retrieved the notice by that time.
NEW SERVICES
We may, from time to time, introduce new services
that are part of CSB Online. We will update this Agreement to
notify you of these new services. By using CSB Online after these
new services become available, you agree to be bound by the terms
contained in the revised agreement.
VIRUS PROTECTION
You agree that Citizens Security Bank & Trust
Company is not responsible for any electronic virus that you may
encounter using CSB Online. We encourage you to routinely scan your
PC and diskettes using any reliable virus protection product to
detect and remove any viruses found. Undetected or unrepaired, a
virus may corrupt and destroy your programs, files, and even your
hardware.
OUR LIABILITY
Except as specifically provided in this Agreement
or where the law requires a different standard, you agree that
Citizens Security Bancshares Incorporated nor any of its
subsidiaries or affiliates (collectively, Citizens Security Bank
& Trust Company) nor any third party service providers engaged
by CSB to perform any of the services connected with CSB, shall be
responsible for any damages, loss, property damage or bodily
injury, incurred as a result of your using or attempting to use the
CSB Online Service, whether caused by the equipment, software,
Internet browser providers such as Netscape (Netscape Navigator
browser) or Microsoft (Microsoft Internet Explorer browser),
Internet access providers or on-line service providers or any agent
or subcontractor of any of the foregoing. Nor shall CSB or any
third party service providers engaged by CSB be responsible for any
direct, indirect, special, or consequential, economic or other
damages arising in any way out of the installation, use, or
maintenance of the damages arising in any way out of the
installation, use, or maintenance of the equipment, software, CSB
Online or Internet browser or access software, or from the
unavailability of CSB Online or for any errors in information
provided though that service.
CHARGES AND FEES
Transfers of funds using CSB Online are free except
as follows: If the number of transactions that you are allowed
during a monthly statement cycle is limited. Transfers through CSB
Online are counted, and if you exceed the total number of
authorized transactions for those accounts, your account will be
charged according to the applicable Deposit Agreement and
Disclosures for your account.
YOUR AGREEMENT TO THESE TERMS AND CONDITIONS
Your registration for CSB Online confirms (a) your
agreement to be bound by all the terms and conditions of this
Agreement; and (2) your acknowledgement that you received and
understand the terms of this Agreement.
SAFETY PRECAUTIONS TO USE REGARDING YOUR INTERNET BANKING
ACCOUNTS
- Never share your online banking user name and password. Any
individual who has your user name and password can successfully
masquerade as you online and can access your accounts;
- Choose your password wisely. (Do not use information that could
be easily guessed, such as you date of birth or social security
number).
- If you find it necessary to write down your user name and
password, keep the information in a safe place, away from prying
eyes. Do not leave it in an unsecured spot where another person may
view it.
- If you suspect that your user name and/or password may have
been compromised, report it to the bank immediately.
- Change your password periodically. A password is like a piece
of chewing gum. It should not be shared and it's best when
fresh.
- Avoid accessing online banking through a public computer, such
as one at a library or a cyber café where a malicious user may have
installed a keystroke logging program or a password sniffer. It is
virtually impossible to guarantee your transmission will be secure
on such a machine.
- If you are going to access your online account on a machine
that is accessible to other users, such as a roommate, coworker, or
family member, take precautions:
- If using Internet Explorer, before you access the bank's web
site, go first to the menu bar at the top of the browser. Choose
Tools/Internet Options. In the dialog box that appears, click on
the Content tab. Then click on the "Auto Complete" button. Uncheck
all auto complete buttons.
- At the end of your session, click on Tools/Internet Options,
and click on the button to "Delete Temporary Files". Then click
OK.
- Close the browser.
- Monitor your account frequently for any unauthorized
transactions and report them to the bank immediately.

USA PATRIOT ACT
In an effort to protect you and our country, the
President signed the USA PATRIOT ACT on October
26, 2001. Section 326 of the Act requires all financial
institutions to verify the identity of every person who seeks to
open an account or become a signor on an account after
October 25, 2002.
Citizens Security Bank & Trust
Company is required to verify the identity of every person
who seeks to open an account or become a signor on an account. All
persons are subject to the identity verification requirements even
though they may be a long term customer of and well known to the
